TERMS OF USE

These Terms of Use (“Terms”) constitute a binding agreement between you and Forge: Centre for Dignity-Driven Leadership (“Forge,” “we,” “our,” or “us”) governing your access to and use of our website at learn.forgecentre.com and any related courses, tools, communities, and materials (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Definitions
“Site” means learn.forgecentre.com.
“Content” means all materials we provide (for example: videos, readings, templates, tools, graphics, recordings).
“User Content” means content you upload, submit, or share via the Services (for example: posts, assignments, messages).
“Community Features” means any discussion forums, cohorts, groups, or other interactive spaces we provide.
“Courses” means any live or on-demand educational offerings we provide.
“Customer” means an organization that purchases seats or otherwise provides you access to the Services.
“PHI” means personal health information as defined by applicable law.
2) Educational and Informational Purposes Only; No Professional Advice or Crisis Support
The Services and all Content are provided solely for general educational and informational purposes. They are not medical, psychological, legal, financial, tax, or other professional advice, and do not substitute for consultation with a qualified professional.
No professional relationship. Your use of the Services does not create a provider–patient, therapist–client, attorney–client, fiduciary, or other professional relationship.
Consult professionals. Do not rely on the Services to diagnose, treat, or manage any condition or to make legal or business decisions. Always consult an appropriate licensed professional for advice.
No crisis service / no duty to monitor. We are not a crisis-response or counselling provider. We do not promise to monitor, review, or respond to communications. In an emergency, call your local emergency number immediately.
Your responsibility. You are solely responsible for your choices and outcomes. Results vary by individual and context.
3) Eligibility, Accounts, and Organizational Access
Minimum age. You must be at least 18 to create an account. If you are under 18, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.
One account; security. You must not create more than one account, share credentials, or allow others to access your account. You are responsible for all activity under your account.
Organization accounts. If you access the Services through a Customer (e.g., your employer), the Customer may control your seat and certain account data. Where permitted by law, we may share your usage information with the Customer to operate the Services.
4) Fees, Billing, and Refunds (if applicable)
Pricing & taxes. Prices are stated in CAD unless noted otherwise and may change at any time. Applicable taxes may be charged.
Payment processing. We use third-party payment processors; their terms govern the processing of your payment information.
Subscriptions & renewals. If you purchase a subscription, it will auto-renew at the then-current price unless you cancel before renewal in your account settings. Free trials (if any) convert to paid unless cancelled before the trial ends.
Refunds. Except where required by law or expressly stated on a Course page, fees are non-refundable. If we materially change or cancel a purchased Course, we will provide a remedy consistent with the offer terms (e.g., replacement access or a pro-rata refund).
Chargebacks. Please contact us first to resolve billing issues. Unwarranted chargebacks may result in account suspension.
5) Acceptable Use & Community Standards
You agree not to:
Harass, bully, threaten, or discriminate against others;
Post, share, or solicit others’ confidential or personal data without consent;
Upload unlawful, infringing, fraudulent, or misleading material;
Record, copy, screenshot, redistribute, or publicly display the Courses, Content, or Community Features without our prior written permission;
Scrape, harvest, or attempt to gain unauthorized access to the Services;
Upload malware or otherwise disrupt or degrade the Services;
Impersonate others, misrepresent your affiliation, or engage in deceptive conduct;
Post commercial advertisements or spam;
Upload PHI or seek medical/legal advice through the Services.
Moderation: We may remove content, restrict features, or suspend/terminate accounts at our discretion to protect users or enforce these Terms. You can report violations via the contact information below.
6) Privacy; Personal Health Information (Canada)
Privacy Policy. Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information in accordance with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, Ontario’s Personal Health Information Protection Act (PHIPA).
No PHI. We are not a “health information custodian” for purposes of PHIPA. Do not submit PHI to the Services (including via forums, chat, assignments, or email). If you nevertheless provide PHI, we may delete it and you agree to indemnify us for resulting claims or costs (see Section 13).
Communications. We may send you transactional communications about your account or purchases. Marketing communications will be sent in accordance with applicable consent rules; you can unsubscribe at any time.
7) Intellectual Property; Use of Content
Ownership. The Services and all Content are owned by Forge or our licensors and are protected by Canadian and international intellectual-property laws.
Your licence to use Content. We grant you a limited, personal, non-exclusive, non-transferable licence to access the Services and use the Content only for your own educational purposes and in accordance with these Terms.
Restrictions. You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform the Content without our prior written permission, except as allowed by fair dealing or other applicable law.
No automated extraction; no model training. You may not use bots, scrapers, or other automated means to access or extract Content, nor may you use the Content to train or fine-tune any AI or machine-learning models or create derivative datasets, without our prior written permission.
8) User Content; Feedback
Your responsibility. You retain ownership of your User Content. You are responsible for it and for ensuring you have all rights necessary to submit it. Do not submit confidential information you would not want publicly visible to other participants (for example, in Community Features).
Licence to operate the Services. You grant Forge a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, and display your User Content only as necessary to operate, secure, back up, and improve the Services, and to comply with law. We may use anonymized positive feedback, reviews or testimonials in marketing. We will not sell your User Content or otherwise use it in public marketing without your separate consent.
Removals. We may remove or disable access to User Content that we believe violates these Terms or the law.
Feedback. If you provide ideas or suggestions (“Feedback”), you grant Forge a perpetual, irrevocable, worldwide licence to use the Feedback without restriction or compensation.
9) Third-Party Services and Links
The Services may contain links to third-party websites or services. Those are governed by their own terms and privacy policies. We do not control and are not responsible for third-party acts, omissions, or content. Links are provided for convenience and do not constitute endorsement.
10) Disclaimers of Warranties
To the maximum extent permitted by law:
The Services and all Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be accurate, complete, current, uninterrupted, secure, or error-free, or that defects will be corrected.
We do not guarantee any particular outcomes or results from your use of the Services or Content.
Some jurisdictions do not allow certain disclaimers; in such cases, the above disclaimers apply to the fullest extent permitted by law.
11) Limitation of Liability
To the maximum extent permitted by law:
Forge and its directors, officers, employees, agents, and contractors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, goodwill, data, or other intangible losses, arising out of or related to your use of (or inability to use) the Services.
Cap. Our total aggregate liability for any claims arising out of or related to the Services will not exceed the lesser of (a) the total fees you paid to Forge for the Services giving rise to the claim in the 12 months preceding the event giving rise to liability, or (b) CAD $100.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12) Indemnification
You agree to indemnify, defend, and hold harmless Forge and its directors, officers, employees, agents, and contractors from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your breach of these Terms; (b) your User Content; (c) your violation of law or third-party rights; or (d) your submission of PHI or other restricted data to the Services.
13) Termination; Effect of Termination
We may suspend or terminate your account or access to the Services at any time, with or without notice, including for conduct that violates these Terms or harms other users or Forge. Upon termination, your right to use the Services ends immediately. We may retain and/or delete User Content pursuant to our Privacy Policy, our data retention practices, and applicable law. Sections that by their nature should survive (including 2, 5–13, and 15–23) will survive termination.
14) Changes to the Services and to these Terms
We may modify or discontinue the Services (in whole or part) at any time. We may update these Terms from time to time. For material changes, we will provide notice (e.g., in-product notice or email to your account address). Changes take effect on the “Last updated” date unless otherwise specified. Your continued use of the Services after changes take effect constitutes acceptance.
15) Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflicts-of-law principles. You and Forge submit to the exclusive jurisdiction of the courts located in Alberta, Canada, for any disputes arising out of or relating to these Terms or the Services.
16) Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, labour disputes, governmental actions, power or internet failures, or failures of third-party services.
17) Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms (in whole or part) to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.
18) Severability
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
19) No Waiver
Any failure by Forge to enforce a provision of these Terms is not a waiver of our right to do so later. A waiver must be in writing and signed by an authorized representative of Forge.
20) Entire Agreement; Order of Precedence
These Terms, together with any course-specific terms and our Privacy Policy, constitute the entire agreement between you and Forge regarding the Services and supersede all prior or contemporaneous agreements on the same subject. If there is a conflict, any course-specific terms prevail over these Terms, and these Terms prevail over the Privacy Policy.
21) Notices; Language
We may provide notices via the Services interface or to the email associated with your account. You are responsible for keeping your contact information current. The English language version of these Terms controls. Any translations are for convenience only.
